1. Agreement and eligibility
These Terms of Service ("Terms") are between you and Jeev Ventures LLC, doing business as AI Bexa and offering Bexa Hub ("Company," "we," or "us"). By registering for, paying for, or using Bexa Hub, you agree to these Terms. If you act for a business, you represent that you are authorized to bind that organization.
2. The services
Bexa Hub provides event-business tools that may include lead and contact management, projects, proposals, client forms, contracts, invoicing, production preparation, inventory, scheduling, dispatch, reporting, and AI assistance. Features and availability can vary by plan and may change as the platform develops.
3. Accounts and access
You must provide accurate account information, keep your credentials confidential, assign staff permissions responsibly, and promptly remove access when no longer appropriate. You are responsible for activities under authorized accounts and must notify us of suspected unauthorized access.
4. Monthly and annual subscriptions
We offer monthly and annual subscription plans. The applicable price, billing interval, included features, and any disclosed limits are shown when you subscribe or in your written order. Unless otherwise disclosed, subscriptions automatically renew for the same billing interval until canceled. Applicable taxes may be added.
Payments may be processed through Stripe. You authorize recurring charges for the selected subscription until canceled in accordance with these Terms. We may change future subscription pricing with notice as required by applicable law.
5. Cancellation and no partial-period refunds
Cancellation takes effect at the end of your current paid subscription period. For a monthly plan, this is the end of the current monthly billing period; for an annual plan, it is the end of the current annual billing period. Access continues through that date unless your account is suspended or terminated for another lawful reason.
We do not provide partial-period refunds, credits, or prorated refunds for unused time, including when you cancel partway through a month or year, except where required by law or expressly agreed in writing. Cancellation stops future renewals; it does not retroactively cancel charges already incurred.
6. Ownership and use of customer data
You retain ownership and control of the lawful business content you upload, including client lists, leads, event records, proposals, contracts, documents, photographs, and other materials. You grant us a limited right to store, process, transmit, display, and back up that content as reasonably needed to provide and secure the services and follow authorized instructions.
7. Confidentiality and lead protection
We will not sell subscriber lead lists or use one subscriber's confidential client information to solicit business for another subscriber, our affiliated event businesses, or competing event companies. We may access or disclose information as necessary for authorized support, service operations, security, lawful requests, or with your permission. This provision does not restrict information independently and lawfully obtained outside your account.
8. Your responsibilities
You are responsible for obtaining appropriate permissions to collect, enter, and share personal information; ensuring the accuracy of event data, prices, documents, and instructions; and complying with applicable laws. Bexa Hub provides software and is not a party to contracts between your company and its clients simply because they were prepared or delivered using the platform.
9. AI-powered features
AI features may use Anthropic to process content you choose to submit for an authorized task. Customer records are not used by us to train AI models. AI outputs may be inaccurate or incomplete and should be reviewed before use, especially for financial matters, event production, safety, legal documents, and operational decisions. AI output is not professional legal, financial, or accounting advice.
10. Intellectual property
Jeev Ventures LLC and its licensors retain ownership of the Bexa Hub software, trademarks, user interface, documentation, and underlying technology. We grant subscribers a limited, nonexclusive right to use the service during an authorized subscription. This does not transfer ownership of subscriber-created content.
11. Acceptable use
You must not access data or accounts without authorization, disrupt the service, introduce malicious code, interfere with security, exploit the platform unlawfully, scrape other subscribers' data, or copy, resell, or reverse engineer the software except to the extent applicable law permits.
12. Third-party services
We use third parties that may include IONOS for hosting, Stripe for payments, Google for applicable services and integrations, and Anthropic for AI processing. Their independently provided services may be subject to separate terms and privacy practices. We are not responsible for independent third-party outages or conduct except as required by law or expressly agreed.
13. Platform changes, availability, and early access
We work to maintain reliable service but cannot guarantee uninterrupted, error-free availability. Planned maintenance, updates, technical issues, and provider outages may occur. Beta and early-access features may be incomplete, change, or be withdrawn. We may update features for security, reliability, compliance, and product development, subject to any specific contractual commitments.
14. Account suspension and termination
We may suspend or terminate access for material violations, nonpayment, fraud, significant security risks, or legal requirements. Where practicable, we will provide notice and an opportunity to address an issue. Following termination, account content is handled under our Privacy Policy, legal obligations, and any separate data-processing agreement or written commitment.
15. Warranty disclaimer
TO THE MAXIMUM EXTENT PERMITTED BY LAW, BEXA HUB IS PROVIDED "AS IS" AND "AS AVAILABLE." WE DISCLAIM IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT TO THE EXTENT PERMITTED BY LAW. NOTHING HERE EXCLUDES RIGHTS OR WARRANTIES THAT CANNOT LAWFULLY BE WAIVED.
16. Limitation of liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, NEITHER PARTY IS LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING LOST PROFITS OR BUSINESS OPPORTUNITIES, ARISING FROM THE SERVICES. EXCEPT FOR LIABILITY THAT CANNOT LAWFULLY BE LIMITED OR EXPRESSLY AGREED EXCEPTIONS, OUR AGGREGATE LIABILITY ARISING FROM THE SERVICES WILL NOT EXCEED THE FEES PAID BY THE SUBSCRIBER TO BEXA HUB DURING THE TWELVE MONTHS PRECEDING THE EVENT GIVING RISE TO THE CLAIM.
17. Indemnification
To the extent permitted by law, business subscribers agree to defend and indemnify us against third-party claims arising from their unlawful uploaded content, misuse of the service, or material violation of these Terms, excluding claims caused by our own wrongful conduct or liability that cannot legally be shifted.
18. Governing law and disputes
These Terms are governed by New York law, without regard to conflict-of-law rules, except where mandatory law otherwise applies. Subject to applicable law, disputes will be heard in courts with jurisdiction in Suffolk County, New York, or the applicable federal judicial district. The parties will attempt in good faith to resolve disagreements before filing suit, except where immediate relief is necessary.
19. Changes to Terms
We may revise these Terms from time to time. Material changes will be communicated as required by law. Continued use after revised Terms take effect constitutes acceptance to the extent legally permitted.
20. General
These Terms, any applicable order form, and incorporated policies form the agreement for the services. If any provision is unenforceable, the remaining provisions continue. A failure to enforce a provision is not a waiver. Neither party is responsible for delays caused by circumstances beyond its reasonable control except as otherwise required by law.
